Terms of Service

1. Agreement

These Terms of Service ("Agreement") constitute a legally binding agreement between you ("Customer", "you") and Runstate Ltd, a company incorporated under the laws of Mauritius and operating the zCloud platform at zcloud.mu ("Runstate", "we", "us"). By registering for or using any zCloud service you agree to be bound by this Agreement in full.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" in this Agreement refers to that entity.

You acknowledge that electronic acceptance of this Agreement — whether by registering an account, clicking to accept, or using the Services — is valid, binding, and enforceable under the Electronic Transactions Act 2000 of Mauritius.

2. Service Provision

Runstate will provide the cloud infrastructure services selected by you during signup (collectively "Services") in accordance with:

  • The service description and specifications set out on the zCloud pricing and product pages at the time of purchase.
  • The Service Level Agreement ("SLA") published at /sla, which is incorporated into this Agreement by reference.
  • The Acceptable Use Policy published at /legal/acceptable-use, which is incorporated into this Agreement by reference.

We reserve the right to modify, suspend, or discontinue any Service (or any part thereof) at any time with reasonable notice, except where immediate action is required to protect the integrity or security of the platform or other customers.

3. Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately via our contact form if you suspect any unauthorised use of your account.

4. Billing and Payment

4.1 Currency and Pricing

All charges are denominated in Mauritian Rupees (MUR). Prices displayed on the Site are exclusive of Value Added Tax (VAT). VAT at the current statutory rate of 15% will be added and displayed at checkout before you confirm any purchase.

4.2 Payment Methods

We currently accept payment via:

  • MCB Juice — Mauritius Commercial Bank mobile wallet

By providing a payment method you authorise Runstate to charge all amounts due under this Agreement to that payment method. You warrant that you are authorised to use the payment method provided.

4.3 Billing Cycle

Services are billed monthly in advance unless otherwise stated. Invoices are generated at the start of each billing cycle and sent to the email address associated with your account. It is your responsibility to ensure that your billing information and payment method are current and valid.

4.4 Late Payment and Suspension

If any invoice remains unpaid for more than 7 calendar days after the due date, we may:

  • Send automated payment reminders to your registered email address.
  • Suspend access to your Services until the outstanding balance is settled in full.
  • Terminate your account and permanently delete all associated data if the account remains in arrears for more than 30 calendar days after suspension.

Runstate will not be liable for any data loss resulting from suspension or termination due to non-payment.

5. Refunds

Our refund and credit policy is set out in full in the Refund & Credit Policy. By accepting this Agreement you also agree to that policy.

6. Service Level Agreement

We commit to the uptime described in our SLA, subject to the exclusions set out therein.

7. Acceptable Use

You must comply with our Acceptable Use Policy at all times. Prohibited conduct includes but is not limited to spam, abuse, illegal content, cryptocurrency mining without prior approval, and resource abuse. Breach of the Acceptable Use Policy may result in immediate suspension or termination without refund.

8. Customer Data

You retain ownership of all data you store on zCloud infrastructure. We process your personal data in accordance with our Privacy Policy and the Mauritius Data Protection Act 2017. We will not access your data except as required to provide the Services, comply with applicable law, or enforce this Agreement.

9. Security

You are responsible for securing your own instances, applications, and data. You must promptly apply security patches and follow reasonable security practices. Our security commitments are described at /legal/security. To report a vulnerability, please contact security@zcloud.mu.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Runstate's total cumulative liability to you for any claims arising under or related to this Agreement shall not exceed the total fees paid by you to Runstate in the three calendar months immediately preceding the event giving rise to the claim.

In no event shall Runstate be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Runstate Ltd, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (i) your use of the Services; (ii) your violation of this Agreement; or (iii) your violation of any applicable law or the rights of a third party.

12. Termination

Either party may terminate this Agreement by giving 30 days' written notice. We may terminate immediately and without notice if you breach the Acceptable Use Policy, engage in fraudulent activity, or if continued provision of Services would expose Runstate to legal or regulatory risk. Upon termination, your data will be retained for 14 days before permanent deletion, after which it cannot be recovered.

13. Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Republic of Mauritius. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Mauritius. Before commencing formal proceedings, both parties agree to attempt resolution in good faith through direct negotiation for a period of at least 30 days.

14. Changes to This Agreement

We may update these Terms of Service from time to time. Material changes will be communicated by email to your registered address at least 14 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
